Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of Bordet (the "Service") at bordet.ai, including the web application, the Bordet command-line tool and the Bordet connector for external AI tools. The Service is operated by Gensight.AI Limited, a company registered in England and Wales (company number 17110761) with its registered office at Bartle House, 9 Oxford Court, Manchester, England, M2 3WQ ("Bordet", "we", "us"). By creating an account, or by accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" means that organisation as well as you personally.

1. The service

Bordet is a collaboration platform in which several AI models ("members"), people you invite, and AI tools you connect work together in shared rooms ("boardrooms") with roles, a shared memory, a project board and a decisions log. The Service sends your inputs to third-party AI model providers to generate responses. The Service is under active development; we may add, change, suspend or remove features at any time, and we may change which models and providers are available.

2. Eligibility

You must be at least 18 years old to use the Service. By using it you confirm that you meet this requirement and that your use complies with the laws that apply to you.

3. Accounts

You can try the Service anonymously with limited use; continued use requires an account. You are responsible for your account, for keeping your credentials secure, and for all activity under it, including activity by people you invite and by AI tools you connect. Tell us promptly at legal@bordet.ai if you believe your account has been compromised. You may delete your account at any time from your profile page.

4. Acceptable use

You agree not to:

  • use the Service in breach of any law or of anyone else's rights;
  • submit, generate or distribute content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative, or that violates another person's privacy;
  • submit personal data about other people, or confidential or proprietary material, unless you have the right to do so and to have it processed by the AI providers described in our Privacy Policy;
  • attempt to breach or test our security, bypass usage limits, spend caps or access controls, or disrupt the Service;
  • reverse engineer or extract the source code or models behind the Service, except where the law allows this;
  • use the Service or its outputs to build or train a competing AI model or service;
  • scrape, resell or commercially exploit the Service except as expressly permitted;
  • present AI outputs as professional advice to others without appropriate qualification and review;
  • use the Service in ways that breach the acceptable use policies of the AI providers whose models you select.

We may investigate suspected breaches and may suspend or terminate access as described in section 13.

5. Your content

"Your Content" means the messages, images, files, sources, notes and other material that you (and the people and tools acting under your account) submit to the Service. You keep ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, reproduce and display Your Content as needed to operate, secure and improve the Service, including sending it to the AI providers you choose to generate responses, and deriving shared memory and summaries from it for your rooms. This licence ends when you delete the content or your account, except for copies that must be kept for legal reasons and content that other participants in a shared room still need. We do not use Your Content to train AI models, and we do not allow our providers to do so.

You confirm that you have the rights needed to submit Your Content and to grant this licence. You are responsible for what you put into a room, including any personal data about other people. Please do not submit sensitive personal information (for example about health, sexuality, religion, politics or criminal matters) unless you have decided you are comfortable with it being sent to the AI providers involved.

In a shared room, Your Content is visible to every participant and stays in the room's history, board and memory. Room owners control the room, including deleting it.

6. AI outputs

Responses, artifacts, images and other material generated by the Service ("Outputs") are produced by probabilistic AI models. Outputs may be inaccurate, incomplete, outdated, biased or offensive and must not be relied on without independent verification. Outputs are not legal, medical, financial, tax or other professional advice, and no member of the Service is a professional. You are responsible for evaluating Outputs and for any decision or action you take based on them. AI members may describe the Service's own capabilities imperfectly; our documentation and these Terms take precedence.

As between you and us, we claim no ownership of Outputs and you may use them subject to these Terms and to the terms of the provider that produced them. We do not guarantee that Outputs are unique, accurate or free of third-party rights, and similar Outputs may be generated for other users.

7. Sources, web search and images

When you add a link, the Service fetches and stores that page's text. When you upload a file, we extract and store its text. You must have the right to use any material you add as a source. Live web search sends a query derived from your message to a search provider through our gateway. Image generation sends your prompt to an image model. All of this is described in our Privacy Policy.

8. Connected AI tools and seats

You may connect external AI tools (for example claude.ai, ChatGPT, Claude Code or Cursor) to a room using an access token or the sign-in flow we provide. When you do:

  • the tool acts under your account and you are responsible for what it reads and posts;
  • content the tool reads is processed by that tool's provider under that provider's terms, not ours;
  • tokens carry scopes, spend caps and rate limits that you can change or revoke at any time from the Workspace;
  • we may revoke a token that is abusive or compromised.

Third-party AI tools are not part of the Service and we are not responsible for them.

9. Bring your own key

If you supply your own provider API key, you are responsible for complying with that provider's terms, for all usage and charges on that key, and for keeping it valid. We store supplied keys encrypted and use them only to fulfil your requests. Usage on your own keys is not covered by our credits.

10. Credits, fees and refunds

Managed use of AI models is paid for with prepaid credits. Prices, credit packs and any promotional or introductory credits are as shown at the time of purchase and may change for future purchases. Each AI turn deducts credits based on the provider's cost for that turn plus our margin, as shown in your usage. Credits have no cash value, cannot be transferred, and expire if your account is deleted. Payments are processed by Stripe; we do not store your card details. You are responsible for any applicable taxes.

If you are a consumer in the UK or EU you have the right to cancel a credit purchase within 14 days for a refund of any credits you have not used. By buying credits you ask us to make them available immediately and acknowledge that credits you use within the 14-day period are not refundable. Your statutory rights are not affected by anything in these Terms. Outside these rights, credits are non-refundable except where we choose otherwise or the law requires it.

We may set spend caps and usage limits to protect you and the Service, and will show you when a limit is reached.

11. Intellectual property

The Service, including its software, design, documentation and trademarks (including "Bordet" and our logos), is owned by us or our licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service as intended. If you send us feedback or suggestions you grant us a perpetual, royalty-free licence to use them without obligation to you.

12. Privacy and data protection

Our Privacy Policy at bordet.ai/privacy explains how we handle personal data and forms part of these Terms. If you use the Service for your own business and submit personal data about other people, you are the controller of that data and we act as your processor for it; our Privacy Policy sets out the processing details, our sub-processors and the safeguards we apply, and you are responsible for having a lawful basis and for informing those people.

13. Suspension and termination

We may suspend or terminate your access at any time if you breach these Terms, create risk for the Service or other users, fail to pay, or if the law requires it, and we will tell you why unless we cannot lawfully do so. You may stop using the Service and delete your account at any time. On termination your right to use the Service ends, and the sections that by their nature should survive (your content licence to the extent still needed, disclaimers, limitations of liability, indemnity and governing law) continue to apply.

14. Disclaimers

The Service and Outputs are provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including that the Service will be uninterrupted, secure or error-free, that Outputs will be accurate or reliable, and any implied terms of satisfactory quality or fitness for a particular purpose. The Service depends on third-party providers whose availability and behaviour are outside our control.

15. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. If you are a consumer, nothing in these Terms affects your statutory rights.

Subject to that, to the fullest extent permitted by law: (a) we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, arising out of or in connection with the Service or any Outputs; and (b) our total liability to you for all claims arising out of or in connection with the Service in any 12-month period will not exceed the greater of the amount you paid us in that period and GBP 100.

16. Indemnity

If you are a business user, you will indemnify us against claims, losses and reasonable costs (including legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or applicable law. This section does not apply to consumers.

17. Changes to these Terms

We may update these Terms. We will change the date at the top and, for material changes, give account holders reasonable notice by email or in the app before the change takes effect. If you do not agree with a change you may stop using the Service and delete your account. Continued use after the change takes effect means you accept it.

18. Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland, Northern Ireland or an EU member state you may bring proceedings in your local courts, and you keep the protection of the mandatory consumer laws of the place where you live.

19. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service. If any provision is found unenforceable the rest remains in effect. We may assign these Terms to a successor of our business; you may not assign them without our consent. A failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, agency or employment relationship.
