These Terms & Conditions ("Terms") govern your access to and use of Bordet (the "Service") at bordet.ai, operated by Bordet ("Bordet", "we", "us"). By creating an account, or by accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

Bordet is an AI collaboration platform where multiple large language models (LLMs) and human teammates work together in shared rooms ("boardrooms"), with roles, shared memory, and a decisions log. The Service routes your inputs to third-party AI model providers to generate responses. We may add, change, or remove features at any time.

2. Eligibility

You must be at least the age of majority in your jurisdiction (and at least the minimum age required by applicable law, e.g. 16 in parts of the EEA, 13 in the US) to use the Service. By using it, you represent that you meet these requirements and that your use complies with all laws that apply to you.

3. Accounts

You can begin anonymously; continued use requires an account. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for the people you invite into your rooms and for their access to content shared there.

4. Acceptable use

You agree not to:

  • use the Service in violation of any law or third-party rights;
  • submit, generate, or distribute content that is unlawful, infringing, harmful, harassing, hateful, sexually exploitative, or that violates others' privacy;
  • attempt to breach security, probe or scan systems, bypass usage limits or access controls, or disrupt the Service;
  • reverse engineer, decompile, or attempt to extract source code or models, except where this restriction is prohibited by law;
  • use the Service or its outputs to develop or train a competing AI model or service;
  • scrape, resell, or commercially exploit the Service except as expressly permitted;
  • submit content you are not legally permitted to share with third-party AI providers, or that includes others' personal or confidential data without a lawful basis;
  • use the Service to generate advice you then present as professional advice without appropriate qualification.

We may investigate and take action (including suspension or termination) for violations.

5. Your content

"Your Content" means the inputs, files, images, and other materials you submit to the Service. You retain ownership of Your Content. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Your Content as needed to operate and improve the Service, including transmitting it to the AI model providers you choose in order to generate responses. You represent that you have the rights necessary to submit Your Content and grant this license.

In shared rooms, content you submit is visible to other participants you (or the room owner) invite, and persists in the room's history and decisions log.

6. AI outputs and no reliance

Responses generated by the Service ("Outputs") are produced by probabilistic AI models and may be inaccurate, incomplete, outdated, or offensive, and should not be relied upon without independent verification. Outputs are not professional advice (legal, medical, financial, or otherwise). You are responsible for evaluating Outputs and for any decisions or actions you take based on them. As between you and Bordet, and to the extent permitted by law and by the applicable providers' terms, you may use Outputs subject to these Terms; we make no ownership claim over Outputs, but we cannot and do not guarantee that Outputs are unique, accurate, or non-infringing.

7. Third-party providers

The Service depends on third-party providers, including our model gateway and the underlying AI model providers (which may include OpenAI, Anthropic, Google, and xAI), hosting and database providers, and payment processors. Your use may be subject to those providers' terms, and their availability and behavior are outside our control. We are not responsible for third-party services.

8. Bring-your-own-key (BYOK)

If you supply your own provider API keys, you are responsible for complying with that provider's terms, for all usage and charges incurred on your keys, and for the security implications of using them. We store supplied keys encrypted and use them only to fulfill your requests.

9. Fees, plans, and credits

Some features require payment. We may offer a "bring your own key" plan and managed "plug-and-play" plans (including prepaid credits). Prices, plan limits, and credit terms are as presented at purchase and may change prospectively. Unless stated or required by law, payments and credits are non-refundable, and credits may expire as disclosed. You are responsible for applicable taxes. Payments are processed by our payment processor; we do not store full card details.

10. Intellectual property

The Service, including its software, design, and trademarks (including "Bordet" and our logos), is owned by us or our licensors and protected by law. These Terms grant you a limited, revocable, non-transferable license to use the Service. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Service you acknowledge that Privacy Policy.

12. Suspension and termination

We may suspend or terminate your access at any time, including for violation of these Terms, risk to the Service or others, or non-payment. You may stop using the Service at any time and may delete your account. On termination, your right to use the Service ends; sections that by their nature should survive (e.g. content license to the extent needed, disclaimers, liability limits, indemnity) will survive.

13. Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE, TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BORDET AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OUTPUTS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold Bordet harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

16. Changes to these Terms

We may update these Terms. We will revise the "last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.

17. Governing law and disputes

These Terms are governed by the laws of [governing jurisdiction, to be confirmed], without regard to conflict-of-laws rules. The courts located in [venue, to be confirmed] will have exclusive jurisdiction, unless applicable law provides otherwise.

18. General

These Terms are the entire agreement between you and Bordet regarding the Service. If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not without our consent. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond reasonable control.
